Terms of Use
These terms govern access to the Closewise demonstration environment.
The demo is offered to businesses only. It is not directed at consumers within the meaning of § 13 BGB.
1. Provider and scope
The provider is the operator identified in the Impressum (see the Impressum). These terms apply to the Closewise demonstration environment, including the reconciliation console, the trends view and the CSV import. They do not constitute a licence for productive use.
2. Demonstration purpose and synthetic data
The demo exists to evaluate the product. Unless expressly agreed otherwise in writing, the reconciliation data shown is synthetic and generated for demonstration. Figures shown do not describe any real hotel, and no result may be relied on for accounting, tax or audit purposes.
3. Account and credentials
You must provide accurate registration details and a business email address you control. You are responsible for keeping your password confidential and for all activity under your account. Please notify us without delay if you suspect unauthorised access.
Accounts are personal. Sharing credentials, or providing access to anyone outside your organisation, is not permitted.
4. Data you upload
You may import a CSV export from your point-of-sale system subject to the import limit shown in the application. You warrant that:
- you are entitled to transfer the file to us for processing, and
- unless a data processing agreement is in force between us, the file contains no personal data of guests or staff, and
- the file contains no full payment card numbers. We reject such files automatically, but the obligation not to submit them is yours.
Where you do import personal data under a signed data processing agreement, you act as controller and we act as processor. That agreement prevails over these terms for anything concerning such data.
We claim no rights in your data. We process it solely to provide the service, and we do not use it to train models or for any purpose of our own.
5. Acceptable use
You agree not to:
- probe, scan or test the vulnerability of the service without our prior written consent, other than by reporting findings as described in section 9;
- circumvent authentication, rate limits or import quotas;
- use automated means to extract the service’s content at scale;
- upload malicious code, or content that infringes third-party rights.
6. Availability
The demo is provided as available. We give no uptime commitment, and we may change, suspend or discontinue it, or any part of it, at any time. We may terminate demo access at our discretion, in particular where these terms are breached.
7. Warranty
The demo is made available free of charge for evaluation. To the extent permitted by law, we give no warranty that it will be error-free, that results will be accurate, or that it is fit for any particular purpose. Statutory liability for defects fraudulently concealed remains unaffected.
8. Liability
We are liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body or health, and where liability is mandatory by statute, including under the Produkthaftungsgesetz, or where we have given a guarantee.
For slight negligence we are liable only for breach of a material contractual obligation, the fulfilment of which is essential to the purpose of the agreement and on which you may reasonably rely. In that case liability is limited to the foreseeable damage typical for this type of agreement.
Any further liability is excluded. In particular, we are not liable for lost profit, for loss of data where the loss could have been avoided by backups you maintain, or for decisions taken on the basis of figures produced by the demo.
9. Reporting a vulnerability
If you find a security issue, please report it to the address in the Impressum before disclosing it elsewhere, and give us a reasonable period to fix it. We will not pursue legal action over good-faith research that respects these terms, avoids third-party data and does not degrade the service.
10. Changes to these terms
We may amend these terms where necessary. We will announce material changes in the application or by email at least 14 days before they take effect. Continuing to use the demo after that date constitutes acceptance; otherwise you may stop using it and delete your account.
11. Governing law and jurisdiction
These terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. Where you are a merchant, a legal person under public law, or a special fund under public law, the exclusive place of jurisdiction is the registered seat of the provider.
12. Severability
Should any provision be or become invalid, the validity of the remaining provisions is unaffected.
